By accessing or using Virloq ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Virloq is an AI-powered video creation and social media management platform that provides:

• AI-generated video scripts and content strategy tools
• AI video generation using third-party models (Sora 2)
• Social media scheduling and posting across multiple platforms
• Video editing, design studio, and content management tools
• Analytics, performance tracking, and monetisation guidance

3. User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate and complete information when creating your account and keep it updated.

4. User Content

You retain ownership of all content you create, upload, or generate through the Service ("User Content"). By using the Service, you grant Virloq a non-exclusive, worldwide, royalty-free licence to use, store, and process your User Content solely for the purpose of providing the Service.

You are solely responsible for your User Content, including ensuring it does not violate any third-party rights, applicable laws, or platform-specific community guidelines.

5. AI-Generated Content

Content generated by AI tools within the Service (scripts, videos, images, suggestions) is provided "as is." You acknowledge that:

• AI outputs may require review and editing before use
• AI-generated content may be subject to third-party AI provider terms
• You are responsible for reviewing AI output before publishing
• Virloq does not guarantee the accuracy, originality, or suitability of AI-generated content

6. Social Media Integration

When you connect third-party social media accounts (Twitter/X, YouTube, Instagram, TikTok, LinkedIn), you authorise Virloq to post content on your behalf. You are responsible for compliance with each platform's terms of service. Virloq is not liable for any account suspensions, bans, or penalties resulting from posted content.

7. Prohibited Uses

You may not use the Service to:

• Create or distribute illegal, harmful, or misleading content
• Violate any applicable law or regulation
• Infringe on intellectual property rights of others
• Generate spam, malware, or phishing content
• Attempt to gain unauthorised access to the Service or its infrastructure
• Resell or redistribute the Service without permission
• Generate content depicting real individuals without their consent

8. Payment and Billing

Certain features of the Service may require payment. All fees are non-refundable except as required by law. AI generation credits (for video, scripts, and images) are consumed on use and are subject to third-party API pricing. We reserve the right to change pricing with 30 days' notice.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Virloq and protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Virloq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification at least 14 days before changes take effect. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration.
